Project Manager (Investments) in HR Agency Key People

Our client is an investment and development group with an international structure that works through SPVs in various jurisdictions and implements complex investment agreements. In connection with business scaling, the company is looking for a PM Investments (Investment Project Manager) - a key operational role responsible for bringing investment decisions to a real result.

This position is about execution: process discipline, control of terms and conditions of deals, as well as the transformation of investment committee decisions into closed deals, working structures and protected investor rights.

PM Investments acts operational partner for CIOs and CEOs, relieving them of routine deal management and ensuring transparency and manageability of the investment cycle.

Main areas of responsibility

1. Deal Execution (deal closing management)

• formation and control of a checklist of conditions for closing deals (Conditions Precedent);

• coordination of all involved parties: lawyers, financial consultants (CFO), analysts, external partners;

• deal timeline management, deadline control, elimination of bureaucratic delays;

• ensuring the readiness of the agreement for closing within the agreed terms.

2. Coordination of structures and Governance

• operational support for the creation and support of SPV / JV;

• control of the structure of ownership, shares and fixation of investor rights;

• ensuring the actual implementation of SHA / SPA agreements (veto rights, limits, waterfalls) in operational activities;

• formation of investment dossier (compliance & audit trail) for future audit and institutionalization.

3. Post-investment control (Early Warning System)

• monitoring of investment viability: covenants, deadlines, key stages (milestones);

• regular communication with operators and developers regarding the status of projects;

• timely identification of risks of non-fulfillment of the terms of agreements;

• immediate escalation of critical issues CIO / CEO.

4. Investment reporting

• preparation of regular reports on the status of investments for management and partners;

• control of consistency of actual financial indicators with analysts' financial models;

• ensuring transparency and a single "version of the truth" regarding investments.

Profile candidate

• Experience: from 5 years in investment operations, transaction support (Transaction Support) or project management in the field of PE / RE / development;

• Hard skills:

  • understanding of the legal logic of investment agreements;

  • experience of working with structures SPV;

  • basic understanding of corporate management and governance;

  • Knowledge of English - upper-intermediate. 

• processes without conflicts;

• anti-chaotic thinking, ability to work with parallel processes.
