Independent member of the supervisory board of one of the companies in the field of science-intensive mechanical engineering (expert in the field of IT systems and digitalization) in Ukrayinska oboronna promislovist

General competences of the Supervisory Board:

• Control over the activities of the executive body, adoption of key decisions affecting the strategic development of the company;
• Approval of internal documents that regulate the activities of the company, except for those related to the exclusive competence of the general meeting;
• Election, termination of powers, approval of contract terms and determination of remuneration of members of the executive body and other managers of the company;
• Appointment and dismissal of the head of the internal audit unit;
• Approval of the terms of contracts with by auditors, consideration and recommendations based on the results of the audit report;
• Making decisions on mergers, reorganization, liquidation and other changes in the company structure;
• Approving provisions on the committees of the Supervisory Board, corporate risk management, and consideration of other important issues that go beyond day-to-day activities.

Professional requirements:

• General experience of more than 7 years, of which at least 3 years of experience in management positions, and at least 2 years in IT in industrial companies;
• Knowledge of the prospects of technical and economic development information technology industry;
• Experience in the implementation and use of automated enterprise management systems, the basics of the functioning of computer networks and database management systems;
• Knowledge of laws, resolutions, Decrees of the President of Ukraine, orders and other legal acts of state authorities and local self-government bodies that regulate the use of accounting systems;
• Experience in implementing accounting system standards;

The advantage will be:

• Experience in international companies; 
• Previous experience as a member of the Supervisory Board;
• Proficiency in English.

General requirements:

• Flawless business reputation;
• Has not been prosecuted for committing a corruption or corruption-related offense;
• No outstanding convictions;
• No ban on holding positions in the management bodies of economic companies;
• Fluency in the Ukrainian language for citizens of Ukraine.
