You will ensure that our company operates within the law, offer counsel onlegal issues, create aneffective guardian ofthe organisation and facilitate business strategies development. Responsibilities: Give accurate and timely counsel toexecutives inavariety oflegal topics (labor law, partnerships, international ventures, corporate finance etc.) Collaborate with C-level management todevise efficient strategies Set and specify internal governance policies and regularly monitor compliance with corporate legislation and requirements invarious jurisdictions (such asCzech, Ukraine, Estonia, USA) Research and evaluate different risk factors regarding business decisions and operations Apply effective risk management techniques and offer proactive advise onpossible legal issues Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations oftrust Draft and solidify agreements, contracts and other legal documents toensure the company’s full legal rights Provide clarification onlegal language orspecifications toeveryone inthe company Conduct your work with integrity and responsibility Maintain current knowledge ofalterations inlegislation Supervise and develop the legal department team Requirements and skills: Proven experience asaGeneral Counsel inbusiness environment Excellent knowledge and understanding ofcorporate law and procedures High degree ofprofessional ethics and integrity Outstanding communication skills In-depth understanding ofhow legal issues affect organisations BSc degree inLaw MAorBSc inBusiness Administration will beconsidered anadvantage; Should have aprofessional experience: corporate law and contract law (with afocus onsuch jurisdictions asCzech, Estonia, Ukraine and the USA), tax, and corporate structuring, venture capital transactions etc. advising companies through the life cycle ofbusiness operations, including commercial, contract, and compliance matters. Співпрацювати зкерівництвом C-рівня для розробки ефективних стратегій. Розробляти таредагувати внутрішні політики тарегулярно контролювати відповідність корпоративного права тавимог урізних юрисдикціях (таких якЧехія, Україна, Естонія, США). Досліджувати таоцінювати різні фактори ризику щодо бізнес рішень таоперацій. Застосовувати ефективні техніки управління ризиками танадавати прогнози, поради зможливих юридичних питань. Комунікувати тавести переговори ззовнішніми сторонами (регуляторами, зовнішніми юристами, представництвами влади тощо). Розробляти таредаdraft agreements, contracts and other legal documents to ensure full legal rights of the company. Perform your work with a high level of honesty and responsibility. Maintain up-to-date knowledge of changes in legislation. Supervise and develop the team of the legal department. Job Requirements: Proven experience as a General Counsel, General Counsel, or Head of the Legal Department in a business environment. Excellent knowledge and understanding of corporate law and procedures. High level of professional ethics and integrity. Excellent communication skills. Deep understanding of how legal issues affect business. A minimum of a bachelor's degree in law. Master's or Bachelor's degree in Business Administration, MBA will be considered an advantage. Experience in international well-known legal or consulting companies will be an advantage. Required professional experience: corporate law and contract law (with a focus on such jurisdictions as the Czech Republic, Estonia, Ukraine and the USA), tax and corporate structuring, capital transactions, etc. advising companies throughout the life cycle of business operations, including commercial, contractual and regulatory compliance issues.
