Reporting to the SVP, Associate General Counsel, you will be responsible for day-to-day operational, financial, governance and administrative items across the Legal Department.The role will require attention to detail, ability to meet tight deadlines, a positive attitude, collaboration, and strong multi-tasking skills to be able to drive and track multiple projects to completion.Primary Job DutiesAssist the Legal Team in various public corporate governance matters and subsidiary managementCorporate records managementCompany formations and necessary state filings Monitor entity compliance calendar for federal, state and other filingsAssist in preparation of annual and ad hoc corporate resolutions and other corporate board mattersAssist attorneys with drafting legal documents/agreementsPrepare initial agreements based on templatesSubmit for completeness, identify individuals, entities and organizations involvedSummarize project objectives and commentsIdentify inconsistencies or missing informationMonitor and follow up on target deadlinesTrack responses to ensure receiptKeep involved parties informed of statusLead and execute research projects under the supervision of supervising attorneyConduct legal research on health care/other issues and prepare summaries as neededMaintain legal memoranda on applicable regulatory requirementsExecute complex projects and collaborate effectively with cross-functional teams (e.g., business development, commercial, finance, operations, procurement)Assist Legal, Business Development, HR and Finance in administrative matters as neededSupport M&A deal reviewQualificationsBachelor’s degree preferred 2+ years experience as a corporate/transactional paralegal or contract administratorPublic corporate governance mattersExperience supporting M&A deals including reviewing NDA and Confidentiality AgreementsBasic research, drafting, proofreading/editing, and project management skillsAbility to work independently as well as with a teamAbility to maintain a high degree of discretion and confidentialityStellar communication, organization, time management, and problem-solving skillsHealthcare experience is preferred, but not requiredMust comply with HIPAA rules and regulationsThe salary range for this role is $80,000.00-$85,000.00 in base pay and exclusive of any bonuses or benefits. This role is also eligible for an annual bonus targeted at 15%.
